Mr. Winters is an accomplished lawyer with nearly 20 years of experience in fund formation and related corporate matters. Admitted to practice law in the US and UK, he guides US and international clients through the regulatory, transactional and corporate governance challenges of managing investments, particularly in the UK market. Mr Winters, who comes from New York-based Morrison Cohen, advises clients on fund formation, representing asset managers, insurers, family offices, fintech start-ups and institutional investors.
He advises financial institutions on the structuring and distribution of investment funds domiciled in the United States, Europe and offshore jurisdictions, with an emphasis on those employing alternative strategies, including assisting private equity firms -investment in the acquisition, disposal and operation of holding companies. He has also trained numerous mutual funds and UCITS, in particular by organizing their passporting throughout the European Union and advising fund administrators on their duties. He also advises investment advisers on compliance with regulatory developments and their interaction with domestic and foreign financial regulators, ranging from clearance applications to enforcement proceedings.
Prior to joining Eversheds Sutherland, he was a partner in several New York-based firms and previously headed the US-Luxembourg office of a major international law firm. Previously, he was an international consultant and senior partner in two major international firms. This return to private practice came after 11 years in the global asset management industry, including as senior in-house legal counsel for several UK investment management firms.
